At SVA.LAW, we advise startups, funds, and financial institutions operating across Mexico and the United States. We are seeking a US Associate to join our cross-border team and strengthen our corporate and financing practice. This is a unique opportunity to work on high-stakes matters involving Delaware entities, venture financings, securities compliance, and M&A transactions that bridge both jurisdictions.

You will play a key role in drafting, negotiating, and implementing corporate documents and financing agreements, advising on US securities regulations, and coordinating with Mexican counsel to deliver seamless solutions for international clients.

🔎 Key Responsibilities

  • Draft, review, and negotiate LLC agreements, operating agreements, shareholder agreements, SAFEs, convertible notes, and financing documentation.
  • Advise startups and funds on corporate governance, equity structuring, and securities compliance.
  • Support M&A transactions, including due diligence, deal structuring, and closing documentation.
  • Bridge US corporate law with Mexican regulatory requirements, ensuring cross-border enforceability.
  • Coordinate with investors, clients, and local counsel on multi-jurisdictional matters.
  • Provide business-oriented solutions that balance legal precision with client growth objectives.

🎯 Requirements

  • JD degree and admission to practice law in at least one US jurisdiction.
  • 3–5 years of experience in US corporate law, venture financing, or securities regulation.
  • Strong knowledge of Delaware corporate structures and US securities frameworks.
  • Experience with cross-border transactions (Mexico/LatAm exposure highly desirable).
  • Excellent drafting and negotiation skills in English (Spanish a plus).
  • Ability to manage complex transactions with multiple stakeholders.
  • Business mindset and client-oriented communication skills.
